Welcome to ImproveHabits. Please read these Terms of Use carefully before using the service. By creating an account or using ImproveHabits, you agree to these Terms.

1. Definitions

• "Service" means the ImproveHabits website, applications, and related features.
• "Adult Account" means an account created by an adult user (parent/guardian).
• "Child Account" means a minor profile created and managed by an authorized parent/guardian.
• "Content" means data, text, profile information, task records, and other material submitted through the service.
• "You" means the individual using the service or, where applicable, the parent/guardian acting for a child user.

2. Eligibility and Account Roles

• Adult accounts must be created by users who are at least 18 years old or the age of legal adulthood in their local jurisdiction.
• Child accounts are intended for users under age 13, or minors under local law, and must be managed by a parent or legal guardian.
• You are responsible for understanding and following local laws in your region regarding the age of majority and minor access.
• You are responsible for deciding when your child should receive independent access under applicable law.

3. Parent/Guardian Responsibilities

• Parents and legal guardians are responsible for all activity on child profiles they create or manage.
• Parents/guardians must supervise usage and ensure that child data and interactions are handled appropriately.
• Parents/guardians must provide accurate information and keep account details up to date.
• Parents/guardians represent that they have authority to provide consent for child use of the service where required by law.

4. Account Registration, Verification, and Access

• You must provide accurate, current, and complete account information.
• ImproveHabits may require email OTP verification and other security checks before granting account access.
• You are responsible for maintaining the confidentiality of account credentials and verification channels.
• You must notify us promptly of suspected unauthorized use of your account.

5. Profile Visibility and Connections

• Child profiles are visible only to people a parent/guardian approves through the product’s connection controls.
• Adult profiles will be visible to other adults in the service to enable connection requests and family collaboration features.

6. Communications and Notices

• You agree to receive transactional communications, such as account verification, security alerts, and policy updates.
• You are responsible for keeping your email address current so you can receive important account notices.
• Where permitted by law, notices sent to your registered email are considered delivered when sent.

7. Account Security

• You are responsible for safeguarding your login credentials and verification channels (such as email OTP).
• You must promptly notify us of any suspected unauthorized access or account compromise.
• We may suspend or restrict access where we reasonably believe an account is at risk or these Terms are violated.

8. Acceptable Use

You agree not to:

• Use ImproveHabits for unlawful, harmful, abusive, fraudulent, or deceptive purposes.
• Impersonate any person, misrepresent your identity, or provide false account details.
• Attempt to bypass security controls, scrape data, reverse engineer protected features, or disrupt service availability.
• Upload or share content that violates another person’s rights, privacy, or safety.
• Use bots, automated scripts, or bulk extraction methods to access protected service data without authorization.

9. User Content and License

• You retain rights to content you submit, where applicable.
• You grant ImproveHabits a limited license to host, store, process, and display submitted content to operate and improve the service.
• You represent that you have the rights needed to submit content and that the content does not violate law or third-party rights.

10. Service Scope, Beta Features, and Availability

• We may update, modify, or discontinue features at any time, including during beta phases.
• We may perform maintenance, security updates, and emergency changes that temporarily impact availability.
• We do not guarantee uninterrupted or error-free operation.

11. Free Service Status and Future Paid Features

• ImproveHabits is currently offered as a free service.
• If paid features are introduced in the future, pricing and billing terms will be disclosed before purchase.
• No payment obligation applies unless and until you expressly enroll in a paid offering.
• If paid offerings are launched, refund terms will be stated at that time and will comply with applicable law.

12. Intellectual Property

• ImproveHabits, including its software, design, and branding, is owned by ImproveHabits and protected by applicable intellectual property laws.
• Except as expressly permitted, you may not copy, distribute, modify, or create derivative works from the service.

13. Feedback

If you submit suggestions, ideas, or feedback, you grant ImproveHabits a non-exclusive, worldwide, royalty-free license to use that feedback to improve the service without additional compensation to you.

14. Third-Party Services

• ImproveHabits may rely on third-party providers (for example email delivery, hosting, analytics, and infrastructure).
• Third-party terms and policies may apply to portions of the service or integrated features.

15. Privacy and Cookies

Your use of the service is also governed by our Privacy Policy and Cookie Policy, which describe how personal information and cookies are handled.

16. Suspension, Termination, and Account Closure

• You may stop using the service at any time.
• We may suspend or terminate access for violations of these Terms, safety concerns, legal requirements, or abuse of the platform.
• Where practical, we may provide notice and an opportunity to correct issues before termination, except where immediate action is required.
• After account closure, certain data may be retained for legal, security, fraud-prevention, or audit purposes, as described in our Privacy Policy.
• Content already shared with other users (including chat messages) may remain visible to those users to preserve conversation context and platform integrity.

17. Disclaimer of Warranties

To the fullest extent permitted by law, ImproveHabits is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You expressly understand and agree that:

• Your use of the service is at your sole risk.
• We do not warrant that the service will meet every requirement you have, or that operation will be uninterrupted, timely, secure, or error-free.
• We do not warrant that information or results obtained through the service will always be accurate, complete, or reliable.
• We do not warrant that defects will be corrected within any specific time.
• Any material downloaded or otherwise obtained through the service is accessed at your own discretion and risk, and you are responsible for resulting damage or data loss.
• No oral or written information provided by ImproveHabits creates any warranty unless expressly stated in these Terms.

18. Limitation of Liability

To the fullest extent permitted by law, ImproveHabits and its affiliates, officers, employees, and service providers are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill, arising from or related to your use of the service.

To the maximum extent permitted by applicable law, ImproveHabits will not be liable for claims arising from, including but not limited to:

• Your use of, or inability to use, the service.
• The cost of substitute services, products, or technologies.
• Unauthorized access to, or alteration/loss of, your data or transmissions.
• Statements, content, or conduct of third parties.
• Any other matter relating to the service, including beta availability or feature changes.

To the maximum extent permitted by law, the total aggregate liability of ImproveHabits and its affiliates for all claims arising out of or related to these Terms or your use of the service will be limited to the greater of: (a) the amount you paid to ImproveHabits in the twelve (12) months before the event giving rise to the claim; or (b) CAD $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

19. Indemnification

You agree to defend, indemnify, and hold harmless ImproveHabits and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the service, your content, or your violation of these Terms or applicable law.

20. Governing Law and Disputes

During the pre-incorporation stage, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, except where mandatory consumer protection laws in your place of residence apply.

Before either party starts formal legal proceedings, the party raising the dispute will send written notice describing the issue and requested resolution. The parties agree to attempt good-faith informal resolution for at least thirty (30) days from the date of notice.

If a dispute is not resolved informally, you agree (to the extent permitted by law) that the courts in Ontario, Canada will have exclusive jurisdiction, and that venue will be Toronto, Ontario, Canada.

To the fullest extent permitted by applicable law, disputes must be brought on an individual basis only, and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding.

21. Changes to These Terms

• We may update these Terms from time to time.
• When material updates are made, we will update the effective date and version and provide notice as required by law.
• Continued use of the service after updates become effective means you accept the revised Terms.

22. Miscellaneous Legal Terms

• If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
• Failure to enforce any right under these Terms is not a waiver of that right.
• You may not assign these Terms without prior written consent; we may assign these Terms in connection with a merger, reorganization, or asset transfer.
• Neither party is liable for delays or failure to perform caused by events beyond reasonable control.
• These Terms, together with policies referenced herein, form the entire agreement between you and ImproveHabits regarding the service.
